Corporate Governance Officer

In order to protect the rights and interests of shareholders, improve corporate governance and strengthen the functions of the board of directors, the company established the position of corporate governance director in accordance with the law in 2023. On April 17 of the same year, the board of directors approved Lin Yafen, director of the finance and accounting department, to concurrently serve as corporate governance director.

The main scope of responsibilities of the Corporate Governance Manager are as follows:

1. Handle matters related to board of directors and shareholders’ meetings in accordance with the law.
2. Responsible for the minutes of the board of directors and shareholders’ meetings and related matters.
3. Assist directors in their appointment and continuing education.
4. Provide directors with the information they need to carry out their business.
5. Assist directors to comply with laws and regulations.
6. Regularly report to the board of directors at least once a year the results of its review of whether the qualifications of independent directors comply with relevant laws and regulations at the time of nomination, election and during their term of office.
7. Handle matters related to director changes.
8. Other matters stipulated in the company’s articles of association or contract, etc.

1. The business execution status of the corporate governance manager in 2023:

(1) Completed 6 board meetings and 4 audit committee meetings after taking office, and notified all directors to attend the meeting 7 days before the meeting and provided meeting materials to facilitate directors to understand the content of relevant topics.
(2) Prepare the minutes of the board of directors and shareholders’ meetings and other related matters. After the meeting, be responsible for reviewing the release of important information on important resolutions to ensure the accuracy of important information.
(3) Remind and arrange directors’ training to meet the statutory training hours for directors.
(4) Assist directors to comply with laws and avoid violating laws.
(5) Arrange for independent directors to communicate with the certified public accountant on corporate governance and arrange for the certified public accountant to attend the audit committee and the board of directors.
(6) Review of the qualifications of independent directors at the time of nomination, election and during their term of office.
(7) Promote corporate governance evaluation.
